The focus of the Firm’s Tax Practice is to provide careful and sophisticated federal and international tax planning and advice that will minimize the tax cost of increasingly complex tax laws and business transactions.

Domestic and International Taxation

Our Firm is active in all stages of business formation and operation, beginning with planning and selecting legal entity structures that are appropriate for our clients’ short-term objectives for investing in and operating businesses, as well as their long-term objectives for exiting business. We are capable of representing taxable corporations (both public and privately held) and pass-through entities such as S corporations, general and limited partnerships, limited liability companies and joint ventures (as well as the shareholders, partners, members and participants in those entities).

Our Firm endeavors to represent clients in various business transactions. By engaging our Firm early in the planning process, we are able to structure transactions in a tax efficient manner and avoid pitfalls that, if not discovered until later, would jeopardize the entire transaction or, at a minimum, require that the transaction be restructured with the attendant delays and increased costs that inevitably result. We provide tax advice in a broad range of corporate matters and transactions, including mergers and acquisitions, corporate spin-offs and other business divisions, numerous forms of structured tax-free corporate reorganizations and corporate liquidations.

International Taxation

Another particularly strong specialty area within the Firm is international taxation. We advise our foreign clients in connection with their United States investments and business interests. In connection with foreign individuals considering a move to the United States, the Firm often provides pre-immigration planning advice.

In addition, our Firm advises our United States clients as to the United States international tax consequences associated with their offshore investments and business interests, along with foreign emigration issues.

Tax Controversies / IRS Representation

The Firm’s tax controversy practice includes representation of clients before the Internal Revenue Service and in court. The Firm can serve as an essential part of the solution to your tax problem. We represent taxpayers at all levels of a tax controversy, including during audit, at the Appeals Division, in Tax Court and at Collection. In addition, we can also assist with offers-in-compromise and innocent spouse cases.

Section 1031 - Like Kind Exchanges

Our 1031 exchange practice is devoted to helping property owners structure and complete tax-deferred exchanges. Our goal with every exchange is to create a safe, effective and efficient experience for the property owner. We satisfy this goal by combining a clear understanding of what is required in order to accomplish an exchange with an unyielding commitment to client satisfaction.
